Pooja is a Partner in K Law’s Energy & Infrastructure Practice Group. She has over 15 years of experience advising on complex and high-value matters across the energy, natural resources, infrastructure, and technology sectors. Her practice is at the intersection of law, policy, and commercial strategy, with a strong focus on energy transition, ESG, and the evolving carbon economy.

She routinely advises on mergers and acquisitions, private equity and venture capital transactions, joint ventures, project finance, and regulatory strategy. Her sectoral expertise spans energy and natural resources, infrastructure and construction, ESG and climate regulation, carbon markets, and environmental law.

• Advising an international lender on structuring and enforceability of guarantees for financing a copper and aluminium recycling plant in the Free Zone of Kénitra.

• Advised Proparco in relation to the financing the expansion of GRP Ltd.’s recycled rubber manufacturing, including structuring security packages and drafting key agreements.

• Advising Visakhapatnam Multi Cargo Bulk Terminal Pvt. Ltd. and providing strategic legal support in drafting and negotiating EPC contracts for an infrastructure project worth INR 613 crores at Visakhapatnam Port.

• Advising Epsilon Carbon Pvt. Ltd. on their coal tar and coke oil supply agreements.

• Advising ArcelorMittal Nippon Steel India Pvt. Ltd. on structuring infrastructure support, master roll supply, and royalty agreements in a joint venture with a Canadian entity.

• Advised Bothra Shipping Services Pvt. Ltd. on a Share Purchase Agreement for acquiring a special purpose vehicle involved in the mechanization of the East Quay-6 (EQ-6) Berth at Visakhapatnam Port under a DBFOT model.

• Advised Shree Cement Limited on its acquisition of five operational RMC plants from StarCrete LLP for Rs 33.50 crore through an asset purchase agreement, marking its entry into the ready-mix concrete (RMC) business.

• Drafted, reviewed and negotiated Power Purchase Agreements (PPAs) and Shareholder Agreements (SHAs) for Vatsala Renewables Energy Pvt. Ltd.

  Advised Arvind Ltd. in relation to their PPAs for solar rooftop energy procurement initiatives.

• Conducted legal assessments of PPAs for Bridgestone India Pvt. Ltd. and advised on regulatory compliance, inspection reports, and vendor communications with the Madhya Pradesh DISCOM.

• Reviewed and negotiated PPAs for Jabil to ensure regulatory compliance and alignment with operational goals.

• Reviewed PPAs, SHAs and Share Subscription Agreements (SSAs) for CtrlS Data Centre

• Advised Eco Act SAS on structuring carbon credit transactions and benefit-sharing mechanisms for a 4,000-hectare mangrove restoration project in West Bengal.

• Conducted an ESG due diligence for Volvo India Group in relation to EV charging vendors, assessing operational, regulatory, and financial compliance.

• Advising a major Indian MNC in developing and implementing ESG risk management services, including compliance gap analysis, risk mitigation strategies and lifecycle assessment of their products.

• Advised AMG Critical Minerals N.V. on indigenous rights in India, covering applicable laws, regulations, and international frameworks.

• Advised Tata Power Company Limited in relation to the investment by BlackRock led consortium, in Tata Power’s renewable energy subsidiary, by way of equity/ compulsory convertible instruments for a 10.53% stake.

• Advised Prozo Distribution Private Limited (which is a supply chain, warehousing and logistics focused startup) in relation to their $10 million Series A fund raise led by Sixth Sense Ventures with participation from Jafco Asia and high net worth individuals.

• Advised Allianz Global Investors and AMP Capital in relation to their infrastructure debt investment amounting to INR 700 crores to Sadbhav Infrastruxcture Projects Limited.

• Advised an LNG company in relation to drafting of template agreements for LNG sale, transportation and equipment services.

• Advised Avaada Group in relation to exit by development financial institutions and the investment by PTT for 41.6% stake.

• Advised Zomato Limited in its $5 million investment in food robotics company Mukunda Foods.

• Advised Adani Green Energy Limited in relation to acquisition of 4954 MW of renewable assets in India by acquiring 100% of the shares of SB Energy Holdings Limited (a JV between the Japan based SoftBank Group Capital Limited and Bharti Global Limited). With an estimated enterprise value of USD 3.5 billion, the deal represented the largest ever acquisition in the renewable space in India.

• Advised Greenko and its promoters in relation to the acquisition of Orix’s India portfolio and the simultaneous investment by Orix into Greenko for approximately 20% shares for an aggregate consideration of USD 980 million.

• Advised OGD Services Limited in relation to submission of their bid for charter hire for an upstream oil and gas project at Gabon.

• Advised Mahanagar Gas Limited and preparing standard form agreements in relation to their compressed natural gas and city gas distribution businesses.

• Drafted and negotiated a pipeline agreement for Hindustan Petroleum Corporation Limited in relation to the Mahul- Uran Sub-Sea LPG Pipeline and the Uran-Chakan/ Shikrapur LPG Pipeline.

• Advised Hindustan Petroleum Corporation Limited in relation to their queries on handling of Kandla-Gorakhpur LPG Pipeline Project and the potential structures available, to invest and operate the project.

• Advised Oaktree Capital Management on its multi-jurisdictional special situations platform investment. The platform focuses on investment in oil exploration and production assets in India.

• Advised International Finance Corporation (IFC) in connection with its proposed financing into a company operating a container terminal in India.

  Advised an Indian multinational conglomerate with the structuring of a transaction for financing its (i) overseas coal mine and rail line project, (ii) onshore renewable energy projects.

• Advised a global investment management firm in relation to the issuance of non-convertible debentures amounting up to INR 700 crores, by an infrastructure company.

• Advised a renewable energy company in relation to certain investments from sovereign wealth funds for scaling up its solar energy generation capacity across India.

• Advised Mahanagar Gas Limited and preparing standard form agreements in relation to their compressed natural gas and city gas distribution businesses.

• Drafted and negotiated a pipeline agreement for Hindustan Petroleum Corporation Limited in relation to the Mahul- Uran Sub-Sea LPG Pipeline and the Uran-Chakan/ Shikrapur LPG Pipeline.

• Advised Essar Exploration and Production Limited in relation to calculation of the withering interest under one of their offshore production sharing contracts.

• Advised Hindustan Petroleum Corporation Limited in relation to their queries on handling of Kandla-Gorakhpur LPG Pipeline Project and the potential structures available, to invest and operate the project.

• Advised Acciona Energy (i) on the current and proposed regulatory framework governing setting up of a group captive power plant, and (ii) on various aspects of group captive structures primarily from the perspective of risk management and challenges in implementation.

• Advised Nexter Systems on their queries in relation to the Indian defence regulatory framework.

• Prepared structuring options for Shell India in relation to repatriation of funds from its Indian subsidiaries.

• Drafted transaction documentation for Nuclear Power Corporation of India Limited in relation to an offer by an international nuclear alliance to set up a nuclear power plant in India on engineering, procurement and construction basis.

• Drafted transaction documents for DP World for the development of a port and warehouse in Thilafushi Island, Maldives.

• Advised CRH Plc in relation to its bid for the purchase of cement plants in India, to be divested in accordance with the orders of the Competition Commission of India, due to the global merger of a French building materials company and a Swiss building materials company.

• Assisted BG in resolving their regulatory issues arising from their day to day operations.

• Advised IFC on the legal framework governing the construction, operation and maintenance of (i) transmission infrastructure in Bihar, India and (ii) 2 outpatient haemodialysis centres and a 150-bed greenfield hospital in Bangladesh.

• Drafted a concession agreement, state support agreement and share subscription agreement for CIDCO and KPMG on the development, operation and management of a greenfield airport.

• Prepared a risk matrix for the Turkmenistan, Afghanistan, Pakistan, India pipeline gas sales and purchase agreement for GAIL.
