Pathik is a Partner in K Law’s Energy & Infrastructure Practice Group, advising clients on strategic and business matters, structuring complex commercial transactions (including cross-border M&As), conducting due diligence (corporate, projects, and real estate), and drafting and negotiating PPAs, O&M agreements, and EPC contracts within the diversified infrastructure sector, real estate acquisitions and investments, financing, risk assessment, and the establishment of robust compliance programs addressing ABAC and POSH. With extensive experience in his specialised practice, he regularly services clients across sectors such as infrastructure, energy (including renewable energy), hospitality, real estate and construction, IT, healthcare, and private equity.
- Advised on the sale and transfer of 100% shareholding in Senvion Wind Technology Pvt Ltd (Senvion India) to Alfanar Group through its SPV in DIFC
- Advised on the acquisition of a majority stake by Zydus Cadila in Windlass Healthcare
- Advised on raising over USD 500 million through international bonds by Azure Power, Mauritius
- Advised on setting up manufacturing facilities for WTG blades in Tamil Nadu and WTG towers in Gujarat
- Advised on structuring and negotiating contracts for setting up a ~600 MW renewable energy project by Alfanar, KSA, including sale of wind turbine generators, land acquisition, evacuation infrastructure, transmission lines, ROW agreements, regulatory approvals and licenses, and O&M agreements in Gujarat
- Advised on structuring and re-negotiating contracts for setting up a renewable energy project by ReNew Power, including sale of wind turbine generators, land acquisition, evacuation infrastructure, transmission lines, ROW agreements, regulatory approvals and licenses, O&M agreements and escrow and security mechanisms in Gujarat
- Advised on structuring and re-negotiating contracts for setting up a renewable energy project by Engie India, including sale of wind turbine generators, land acquisition, evacuation infrastructure, transmission lines, ROW agreements, regulatory approvals and licenses, O&M agreements and escrow and security mechanisms in Tamil Nadu
- Advised on structuring and negotiating contracts for setting up a ~600 MW renewable energy project by JSW Energy, including sale of wind turbine generators, laying of WTG foundations and other EPC works in Maharashtra and Tamil Nadu
- Advised on structuring, drafting and negotiating contracts for setting up a renewable energy project by O2 Power, including the sale of wind turbine generators, laying of WTG foundations and other EPC works in Maharashtra and Karnataka
- Advised on structuring and negotiating contracts for the purchase of solar panels, land acquisition, and construction of transmission lines, including ROW acquisition for various projects by Engie India in Rajasthan and Gujarat
- Developed strategy and engaged counsel in a dispute with GUVNL and NTPC for extension of time and waiver of liquidated damages under PPAs for Engie India projects
- Developed strategy and engaged counsels in a dispute with SECI for refund of safeguard duty with carrying cost (~INR 150 crore) under a PPA for an Engie India project in Andhra Pradesh
- Advised on refinancing a project loan (~INR 1000 crore) for setting up a 250 MW renewable project by Engie India in Tamil Nadu, including partial down-sell, project and land diligence, land mutation and NA conversion, and rectification of land documents
- Advised on financing a project loan (~INR 750 crore) for a renewable energy project by Engie India in Gujarat, including facilitation of diligence on project, real estate and EPC contracts, and negotiation of financing documents
- Advised on structuring and negotiating an infrastructure sharing agreement for the development of common evacuation infrastructure by the lead developer for co-developers, including submissions to authorities and providing security mechanisms for lenders
